Terms of Service
Effective date: September 27, 2026
These Terms of Service (“Terms”) govern access to the Decisive Machines website and workspace. Decisive Machines is operated by Kite Labs, Inc. (“Kite Labs,” “we,” “us,” or “our”). By using the website or workspace, you agree to these Terms. If you use the service for an organization, you confirm that you have authority to act for it.
These Terms replace the Decisive Machines main-site terms effective January 4, 2026. They do not replace the separate terms for Miri or any signed customer, contributor, confidentiality, data-protection, or project agreement.
1. Services and project agreements
Decisive Machines provides expert-data services and workflow agents. Agent environments are in development. Descriptions, demonstrations, prototypes, or roadmap materials do not promise that a feature is generally available or suitable for a particular use.
A signed customer agreement, contributor agreement, or project schedule governs its subject matter and takes priority over conflicting public Terms. The individual contract establishes project scope, deliverables, acceptance criteria, fees or contributor compensation, payment timing, cancellation, refunds, confidentiality, and other commercial terms. Signing up does not guarantee a project, engagement, work volume, earnings, or a finished deliverable.
2. Eligibility and accounts
You must be at least 18 and legally able to enter the relevant agreement. Provide accurate account and credential information, keep sign-in details secure, and promptly tell us about suspected unauthorized access. You are responsible for activity performed through your account to the extent permitted by law.
3. Acceptable use
You may not:
- break applicable law or another person’s rights;
- access a project, account, system, or information without authorization;
- interfere with the service or introduce malicious code;
- misrepresent your identity, authority, qualifications, work, or sources;
- remove confidentiality, provenance, or usage restrictions; or
- use platform materials or another participant’s information outside the permissions that apply to you.
Professional credentials, employment, or access to a record do not by themselves authorize disclosure of employer, client, patient, or third-party information.
4. Materials and intellectual property
Kite Labs and its licensors retain their rights in the website, workspace, software, designs, and platform materials. Subject to these Terms, you may use the service for the authorized project and purpose.
Each party keeps the rights it already has unless an applicable written agreement expressly grants other rights. Submitting material through the workspace does not by itself transfer ownership or create a blanket license. The applicable agreement must address ownership and permitted uses of original contributions, customer inputs, third-party material, datasets, workflows, environments, and outputs.
Reuse across customers, sublicensing, commercialization, adaptation, AI training, and evaluation are permitted only when a written agreement expressly permits the relevant use for the specific material. Buyer inputs, confidential material, and sensitive records are not automatically licensed for unrelated training or cross-customer distribution.
These Terms do not retroactively expand rights granted under earlier terms or agreements. Material collected under an earlier service-delivery-only license remains subject to that commitment unless a valid change is agreed and any required notice or consent is obtained.
5. Sensitive information
Do not upload actual patient, financial, or other sensitive personal records unless Kite Labs has separately contracted for that project and expressly approved the necessary handling arrangements. Ordinary account creation, an upload field, or a project invitation is not approval for regulated information.
Before intake, the relevant agreement must address authority, purpose, recipients, provider requirements, access, security, and retention, including any additional agreement or authorization required by law.
6. AI-assisted work and external services
AI-assisted results may be incomplete or wrong and require appropriate review before use. Performance on one task does not guarantee results in another setting. Any external action, integration, or deployment permission must be part of the relevant project scope.
External websites, scheduling tools, and other third-party services have their own terms. You must have the necessary authority before sending information to them.
7. Access and ending a relationship
We may restrict or suspend access to address misuse, unauthorized disclosure, security concerns, or legal requirements, subject to the applicable contract and law. Ending workspace access does not by itself cancel a payment obligation, revoke an independently granted license, or resolve retention duties. The relevant agreement and our Privacy Policy govern those issues.
8. Service limitations
The website and general workspace are provided on an “as available” basis. To the extent permitted by law, we do not promise uninterrupted or error-free operation or that an AI-assisted output will be accurate or fit for a particular purpose. Project-specific warranties, remedies, liability allocation, and indemnities are established by the applicable signed agreement.
The website and general workspace do not provide medical, legal, or financial advice and are not emergency services. A separately contracted regulated project may have its own scope and safeguards.
9. Governing law and disputes
Unless an applicable signed agreement provides otherwise, these Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. State and federal courts located in Texas may hear disputes arising from these Terms, subject to mandatory law, applicable venue rules, and rights that cannot lawfully be waived. These Terms do not require arbitration or waive the ability to bring or participate in a class or representative claim where that right applies.
10. Changes and general terms
We may update these Terms and will provide notice appropriate to a material change. A change does not retroactively alter project rights, fees, or permissions already established by another agreement. Continued use after an updated version takes effect constitutes acceptance only to the extent permitted by law.
If a provision of these Terms cannot be enforced, it will be limited to the minimum extent necessary and the remaining provisions will continue to apply. A delay in enforcing a provision is not a waiver. These Terms do not assign your material or your contract to Kite Labs.
